PREAMBLE

The website egis.affective.fr (hereinafter the “Website”) is operated on behalf of EGIS by the company AFFECTIVE SARL, a limited liability company with a share capital of €16,666.67, whose registered office is located at 9 rue des Augustins, 59000 Lille, registered with the Lille Métropole Trade and Companies Register under number 789 725 108, and registered under the intra-Community VAT number FR00789725108 (hereinafter “Affective”).

EGIS, whose registered office is located at 15 Avenue du Centre, 78280 Guyancourt, is the seller of the products offered on the Website and the controller of the personal data collected.

Affective acts as a technical and logistics processor, responsible in particular for hosting, maintaining the Website, managing the ordering interface and technically processing orders after validation in EGIS’s ERP.

The Website operates via an Oracle Punch Out system. As such:

  • The Client authenticates on Oracle,
  • Oracle automatically opens the Egis shop,
  • The Client selects products and builds their basket on the Website,
  • When the basket is validated, it is transferred to Oracle for internal validation,
  • After validation in Oracle, the order is sent back to Affective for production launch.

All products are made to order, with no stock management.

By validating an order, the Client acknowledges having read and unreservedly accepted these General Terms and Conditions of Sale.

ARTICLE 1 – Scope and Acceptance of the GTC

1.1. Scope

These General Terms and Conditions of Sale (GTC) govern all sales concluded via the Website between EGIS and any professional client connected via the Oracle Punch Out system.

The contractual sales relationship is concluded directly between the Client and EGIS. Affective is not a party to the sales contract.

1.2. Acceptance of the GTC

Before any basket validation, the Client acknowledges having read and accepted these GTC by ticking the relevant box provided for this purpose on the Website.

1.3. Amendments

EGIS reserves the right to amend these GTC at any time. The applicable terms are those in force on the date on which the basket is transferred to Oracle for validation.

1.4. Partial invalidity

If any provision of these GTC is declared null and void or unenforceable, the remaining provisions shall remain fully applicable.

1.5. Contractual precedence

These GTC take precedence over any other contractual document issued by the Client (purchase conditions, commercial exchanges, etc.), unless otherwise expressly agreed in writing by EGIS.

ARTICLE 2 – Purpose of the Website

The purpose of the Website is the online sale of products and related services linked to EGIS, in particular:

  • textile products;
  • accessories and luggage;
  • signage items;
  • high-tech items;
  • customised products made to order.

The Website is intended exclusively for professional (B2B) clients connected via a Punch Out access from Oracle.

ARTICLE 3 – Access to and Availability of the Website

3.1. Access to the Website

The Website is, in principle, accessible 24/7, except in the event of maintenance, updates or force majeure. Internet access and connection costs are borne exclusively by the Client.

3.2. Service suspension

Affective reserves the right to temporarily interrupt access to the Website for maintenance, updates or in the event of a technical incident, without such interruption giving rise to any right to compensation for the Client.

ARTICLE 4 – Identification and Access Security

4.1. Oracle Punch Out connection

Access to the Website is exclusively via EGIS’s Oracle Punch Out system. The process is as follows:

  • The Client logs into their Oracle environment with their internal credentials;
  • From Oracle, the Client is redirected to the Egis – Affective shop (Punch Out);
  • The Client selects products on the Website and builds their basket;
  • When validating, the basket is transferred to Oracle for internal approval (approval workflow, budget, etc.);
  • Once the order is validated in Oracle, the order information is sent back to Affective for processing and production launch.

No order is considered firm and final until it has been validated within Oracle.

4.2. Security

Affective implements reasonable technical measures to secure the Website (SSL certificate, server security measures, backups, etc.).

4.3. Confidentiality and access management

The management of login details, user accounts, access rights and approval workflows is the sole responsibility of EGIS via Oracle. Affective does not intervene in the management of such access.

ARTICLE 5 – Products

5.1. Information

The products offered for sale are described and illustrated as accurately as possible. However, photographs and visuals are for illustrative purposes only and are not contractually binding.

5.2. Made-to-order products – No stock

All products offered on the Website are made to order after the order has been validated in Oracle. There is no pre-existing stock for the products offered for sale.

5.3. Custom products and pre-orders

Due to the customised and/or made-to-order nature of the products, they cannot be cancelled, exchanged or returned, except in the case of a proven defect attributable to the seller.

ARTICLE 6 – Orders

6.1. Ordering process

The ordering process is as follows:

  1. The Client logs into Oracle and accesses the Egis – Affective shop via Punch Out;
  2. The Client selects products on the Website and adds them to their basket;
  3. The Client validates the basket on the Website;
  4. The basket is automatically transferred to Oracle, where it is subject to EGIS’s internal approval workflows;
  5. After validation in Oracle, the order is sent to Affective, which launches made-to-order production;
  6. The order is then considered firm and final.

6.2. Order confirmation

Order confirmation may occur via Oracle (internal purchase order, validated status) and/or by e-mail, depending on the configuration chosen by EGIS. The validation date in Oracle serves as the order date.

6.3. Order refusal

EGIS reserves the right to refuse any order in the event of an internal validation issue, a suspicion of fraud, a manifest error in price or description, or more generally for any legitimate reason.

ARTICLE 7 – Prices and Payment

7.1. Prices

Prices are expressed in euros (€) and indicated excluding VAT for professional clients. The applicable prices are those displayed on the Website at the time the Client builds their basket.

7.2. Payment terms

Payment is made exclusively via the Oracle system, in accordance with the internal terms and conditions defined by EGIS (budget approval). The Website does not collect any banking data.

ARTICLE 8 – Withdrawal and Returns

8.1. Right of withdrawal

As the Website is intended for professional (B2B) clients, the statutory right of withdrawal provided for consumers under the French Consumer Code does not, in principle, apply.

8.2. Exceptions and no return

Given the customised and/or made-to-order nature of the products:

  • No right of withdrawal applies;
  • No return, cancellation or exchange is possible, except in the event of duly established non-conformity or latent defect.

ARTICLE 9 – Delivery

9.1. Terms and lead times

Delivery is made to the address provided by the Client at the time of ordering (via Oracle). Production of the products is launched after the order has been validated in Oracle.

The indicative delivery times for made-to-order products are 2 to 6 weeks, depending on the type of product and the quantity ordered.

9.2. Issues upon receipt

In the event of any issue or damage noted upon receipt (damaged parcel, missing or non-compliant product), the Client must submit a claim within 48 hours from delivery to the following address: sav@affective.fr.

After this period, claims related to transport or the condition of the products may be rejected.

ARTICLE 10 – Statutory Warranties

The products sold benefit from the following statutory warranties:

  • the legal warranty of conformity (Articles L.217-3 to L.217-14 of the French Consumer Code);
  • the warranty against latent defects (Articles 1641 to 1649 of the French Civil Code).

Any claim under a warranty must be sent to sav@affective.fr, together with all evidence of the defect (photos, description, order reference, etc.).

ARTICLE 11 – Liability

11.1. Affective’s liability

Affective is responsible for the proper technical operation of the Website, its hosting, maintenance and the processing of orders after validation in Oracle.

Affective cannot be held liable for:

  • the content of commercial offers, product sheets and prices, which are defined by EGIS;
  • approval workflows and internal decisions made in Oracle;
  • interruptions or malfunctions caused by external factors (network, internet provider, Oracle, force majeure, etc.).

11.2. EGIS’s liability

EGIS is solely responsible for:

  • the conformity of the products and services offered for sale;
  • the content of product sheets, prices and commercial terms;
  • the processing and validation of orders in Oracle;
  • compliance with legal obligations relating to sales and data protection.

ARTICLE 12 – Personal Data

Data collected via the Website and as part of the Oracle Punch Out process are processed in accordance with Regulation (EU) 2016/679 (GDPR) and applicable French legislation.

ARTICLE 13 – Intellectual Property

All elements of the Website (texts, graphics, logos, visuals, layouts, source code, etc.) are protected by intellectual property law and remain the exclusive property of EGIS or Affective.

Any reproduction, representation, adaptation, translation or exploitation, in whole or in part, of elements of the Website, without prior written authorization, is strictly prohibited.

ARTICLE 14 – Applicable Law and Disputes

These GTC are governed by French law.

In the event of a dispute, the parties shall endeavour to seek an amicable solution.

Failing amicable agreement, and unless otherwise required by mandatory legal provisions, exclusive jurisdiction is granted to the courts of the Lille Métropole jurisdiction.
