PREAMBLE
The website egis.affective.fr (hereinafter the “Website”) is operated on behalf of EGIS by AFFECTIVE SARL, a French limited liability company (SARL) with a share capital of €16,666.67, whose registered office is located at 9 rue des Augustins, 59000 Lille, France, registered with the Lille Métropole Trade and Companies Register under number 789 725 108, VAT number FR00789725108 (hereinafter “Affective”).
EGIS, whose registered office is located at 15 Avenue du Centre, 78280 Guyancourt, France, is the seller of the products offered on the Website and the data controller of the personal data collected.
Affective acts as a technical and logistical processor, in particular responsible for hosting, Website maintenance, the ordering interface, and the technical processing of orders after validation within EGIS’s ERP system.
The Website operates through a Oracle Punch Out system. Accordingly:
- The Customer authenticates via Oracle,
- Oracle automatically opens the Egis store,
- The Customer selects products and builds a cart on the Website,
- Upon validation, the cart is transferred back to Oracle for internal approval,
- Once validated in Oracle, the order is sent to Affective for production.
All products are made to order and no stock is held.
By validating an order, the Customer acknowledges having read and accepted these Terms of Sale without reservation.

ARTICLE 1 – Scope and Acceptance
1.1 Scope
These Terms govern all sales concluded via the Website between EGIS and any professional customer accessing the Website via the Oracle Punch Out system.
The sales contract is concluded directly between the Customer and EGIS. Affective is not a party to the sales contract.
1.2 Acceptance
Before validating any cart, the Customer must acknowledge acceptance of these Terms by ticking the designated box.
1.3 Amendments
EGIS reserves the right to amend these Terms at any time. The applicable Terms are those in force at the date the cart is transferred to Oracle for validation.
1.4 Severability
If any provision is deemed invalid, the remaining provisions shall remain in full force.
1.5 Order of Precedence
These Terms prevail over any other contractual documents issued by the Customer unless expressly agreed otherwise in writing by EGIS.

ARTICLE 2 – Purpose of the Website
The Website offers for sale EGIS-related products and services, including:
- Textile products;
- Accessories and luggage;
- Signage items;
- High-tech items;
- Personalized and made-to-order products.
The Website is exclusively intended for professional (B2B) customers accessing via Oracle Punch Out.

ARTICLE 3 – Access and Availability
The Website is accessible 24/7 except for maintenance or force majeure. Internet access costs are borne by the Customer.
Affective may temporarily suspend access for maintenance or technical reasons without entitlement to compensation.

ARTICLE 4 – Identification and Security
Access is exclusively via Oracle Punch Out authentication.
User credentials, approval workflows, and access rights are managed exclusively by EGIS via Oracle. Affective does not manage user access rights.
Affective implements reasonable technical security measures (SSL certificate, server security, backups, etc.).

ARTICLE 5 – Products
Products are described as accurately as possible. However, images are non-contractual.
All products are made to order following Oracle validation. No pre-existing stock is held.
Due to their personalized and/or made-to-order nature, products cannot be cancelled, returned, or exchanged except in case of proven defect attributable to the seller.

ARTICLE 6 – Orders
An order becomes final only after validation within Oracle and subsequent transmission to Affective for production.
The Oracle validation date constitutes the official order date.
EGIS reserves the right to refuse any order for legitimate reasons (approval issue, manifest error, suspected fraud, etc.).

ARTICLE 7 – Prices and Payment
Prices are expressed in euros (€) and shown excluding VAT.
Payment is handled exclusively through Oracle according to EGIS’s internal budget validation procedures. No banking data is collected on the Website.

ARTICLE 8 – Withdrawal and Returns
As the Website is dedicated to professional customers (B2B), statutory consumer withdrawal rights do not apply.
No returns, cancellations, or exchanges are permitted for made-to-order products except in case of proven defect.

ARTICLE 9 – Delivery
Delivery is made to the address provided via Oracle.
Indicative production and delivery times range from 2 to 6 weeks, depending on product type and volume.
Any anomaly (damage, missing or non-compliant product) must be reported within 48 hours of delivery to: sav@affective.fr

ARTICLE 10 – Legal Warranties
Products benefit from applicable legal warranties under French law, including conformity and hidden defects warranties.

ARTICLE 11 – Liability
Affective is responsible for technical operation of the Website.
EGIS is solely responsible for product conformity, pricing, commercial terms, and compliance with legal obligations.

Data processing complies with Regulation (EU) 2016/679 (GDPR) and applicable French law.

These Terms are governed by French law.
In case of dispute, the parties will seek an amicable resolution. Failing agreement, exclusive jurisdiction is granted to the courts of Lille Métropole.
